Capital is no longer just funding CRE deals. It’s becoming part of how they’re built.

In a market where traditional financing has tightened, one source of capital is quietly becoming more influential than most expected: Opportunity Zone capital.

What’s interesting is not the tax incentive itself, but how it’s changing the mechanics of deals.

A different kind of capital stack.

Opportunity Zone capital is increasingly being used beyond ground-up development. It is now stepping into recapitalisations, restructuring existing assets, and solving deals that no longer fit conventional debt or equity models.
That shift matters because it introduces flexibility at a time when rigidity has been one of the market’s biggest constraints.

Time is becoming a strategic asset.

The 10-year hold structure fundamentally changes how deals are underwritten. Instead of forcing early exits or refinancing pressure, these structures allow capital to be paid down gradually, extending timelines and reducing near-term risk.

In a higher-rate environment, that ability to “buy time” is becoming just as valuable as the capital itself.

Creativity is replacing standardisation.

What stands out is how non-uniform these deals are becoming. Multiple term sheets for the same asset, each structured differently, signals a shift away from traditional pref equity toward more hybrid, bespoke solutions.

This is less about volume, and more about precision. Structured finance is moving back into focus.

As capital structures become more complex, the way assets are presented, understood, and positioned becomes part of the deal itself, not just the marketing layer.
